1. Engagement Scope & Statements of Work
All software engineering, cloud architecture, and fractional Virtual CTO services delivered by Vedant Techserve LLP are governed by mutually executed Statements of Work (SOW) specifying milestone deliverables, sprint schedules, and commercial fee structures.
2. Intellectual Property & Work for Hire
Upon receipt of full contractual settlement, all custom source code, documentation, architectural diagrams, and proprietary business logic authored for the Client transfer unconditionally to the Client as "Work Made for Hire". Vedant retains rights only to pre-existing open-source libraries and general software design patterns.
3. Confidentiality & Non-Disclosure
Both parties agree to hold all proprietary trade secrets, architecture schematics, server credentials, and financial metrics in strict confidence during and following the term of engagement.
4. Jurisdiction & Dispute Resolution
These terms are governed by the laws of India. Any legal proceedings arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Ahmedabad, Gujarat, India.
